Terms of Service

Last Updated: November 8, 2026

Welcome to Heyli. These Terms of Service (“Terms”) govern your use of the Heyli service. Please read them carefully before using Heyli.

By sending a message to Heyli on WhatsApp or using any part of the service, you agree to these Terms. If you do not agree, please do not use the service.

1. What is Heyli?

Heyli is an AI-powered networking companion that helps professionals meet relevant people. It works through WhatsApp — you have a conversation with Heyli, it learns about your professional background and goals, and it suggests introductions to other users who might be a good match.

In simple terms: Heyli is an AI that helps you network. It listens, remembers, and introduces you to the right people.

What Heyli is NOT:

  • Heyli is not a recruitment agency or job placement service
  • Heyli is not a dating service
  • Heyli is not a substitute for professional advice (legal, financial, medical, or otherwise)
  • Heyli is not a human — it is an artificial intelligence system

2. Who operates Heyli?

Heyli is operated by:

Heyli
ul. Chmielna 73, 00-801 Warszawa, Poland
NIP: [NIP]
[KRS/CEIDG: TO BE ADDED] Email: support@meetheyli.com

3. Who can use Heyli?

3.1 Age requirement

You must be at least 18 years old to use Heyli. By using the service, you confirm that you are at least 18.

If we discover that a user is under 18, we will immediately terminate their access and delete their data.

3.2 Geographic scope

Heyli is available to users in the European Union and the United States. If you access Heyli from another country, you do so at your own initiative and are responsible for compliance with local laws.

3.3 Eligibility

You may use Heyli if you:

  • Are at least 18 years old
  • Provide accurate and truthful information
  • Use the service for legitimate professional networking purposes
  • Agree to these Terms and our Privacy Policy

4. How do you start using Heyli?

4.1 Getting started

To use Heyli, you:

  1. Send a message to Heyli’s WhatsApp number (directly or via a QR code at an event, association, or coworking space)
  2. Have a conversation where Heyli learns about your professional background
  3. Receive a consent request from Heyli explaining what data is collected and how it is used
  4. Grant consent to enable memory, profile creation, and matchmaking

You may also be part of Heyli through your community’s member list, before you ever message Heyli (see Section 5.7).

4.2 Consent

Before Heyli stores any personal data from your chats with Heyli, it will ask for your explicit consent. Data from your community’s member list follows different rules (see Section 5.7 and the Privacy Policy, Section 4.13). The consent request explains:

  • What data is collected
  • How it is used
  • Who receives it
  • How long it is kept
  • Your rights

You can read the full details in our Privacy Policy.

Consent is voluntary, but necessary for the service. If you decline consent, Heyli cannot store your profile, remember your conversations, or find matches for you. You may still send messages, but the core features of Heyli (matchmaking, memory, introductions) will not be available. Without consent, we are unable to provide the service as described in these Terms.

If you withdraw consent after previously granting it, we will stop processing your data and delete it within 30 days, but we will no longer be able to provide the service to you.

4.3 Email verification

To use the introduction (matchmaking) feature, you need to provide and verify your email address. We use double opt-in — you receive a verification email with a secure link that expires in 24 hours.

4.4 No account in the traditional sense

Heyli does not have a traditional account with a username and password. Your WhatsApp phone number is your identifier. You interact with Heyli entirely through WhatsApp.

5. What does Heyli do?

5.1 AI conversation

Heyli uses artificial intelligence (hosted in the EU) to:

  • Understand your professional background and networking goals
  • Extract and structure your professional profile from conversation
  • Remember key facts and preferences across conversations
  • Respond in a helpful and context-aware manner

5.2 Professional matchmaking

Based on your profile and goals, Heyli can find other users who might be relevant connections. The matchmaking uses semantic similarity search — it looks for people whose professional backgrounds, goals, and interests align with yours — and an AI ranking step that orders the results without using names or contact details (see Privacy Policy, Section 5.2).

How matches work:

  1. You ask Heyli to find connections (e.g., “find me a cofounder” or “who should I meet here?”)
  2. Heyli searches its network and presents potential matches with brief descriptions (first name, role, company, city, shared hobby)
  3. You choose whether to proceed with an introduction
  4. In a community, the community manager says yes or no to your request
  5. If yes, Heyli asks the other person
  6. The other person decides whether to accept or decline
  7. If both parties accept, Heyli shares contact details (email) between you

If nobody fits yet, Heyli keeps looking for up to 90 days and writes to you first when someone fits.

A community manager can also suggest an introduction between two members (see Section 5.7).

Important: Both parties must explicitly accept before any contact information is shared. Your phone number is never shared.

5.3 Community and event networking

At events, associations, or coworking spaces using Heyli (via QR codes or dedicated pages), Heyli can help you find and meet relevant people in your community. Your activity history becomes part of your profile to improve future matchmaking.

5.4 Using your LinkedIn profile information

If you share your LinkedIn URL, Heyli can review the publicly available information on your profile to help build your networking profile. See our Privacy Policy (Section 4.4) for details.

5.5 Voice messages

You can send voice messages to Heyli. These are transcribed to text and then processed as regular text messages. If you prefer not to have your voice processed, send text messages instead.

5.6 Service improvement

The Heyli team may review conversations between you and Heyli to improve the service — for example, to ensure Heyli asks the right questions and understands your needs. This helps us make Heyli a better listener and conversational partner. Conversations are only accessed by authorized team members bound by confidentiality obligations. See our Privacy Policy (Section 4.7) for full details.

5.7 Communities, community managers, and member lists

Some communities (such as coworking spaces, associations, and event series) work with Heyli to help their members meet.

  • Member lists. A community may give Heyli its member list. Heyli then processes it for the community under a data processing agreement. The community is responsible for having the right to share its list. Heyli uses only work data (name, role, company, work email, LinkedIn) and never a phone number from the list.
  • First email. The community’s first email about Heyli tells you where your data came from and how to opt out. Other members can find you through Heyli only 14 days after that email, if you did not opt out.
  • Community managers. Managers use the Heyli panel. They can see their own members’ work profiles, approve or refuse members’ requests, suggest introductions and give the reason, and invite members to circles. Managers see only their own community. They do not see your chats with Heyli.
  • Heyli writes, the manager decides. Heyli writes every introduction email in its own style, and Heyli is the only sender. A manager cannot edit the text and cannot get your contact details through Heyli.
  • Your choice stays yours. You can say no to any introduction. You can reply “opt out” (or “wypisz”) to any Heyli email to get no more introductions. To delete your data, write to support@meetheyli.com. You do not need to use Heyli on WhatsApp to be part of your community’s list.
  • Managers’ duties. Managers agree to use the panel only to help members meet, to keep what they see confidential, and not to copy member data out of Heyli for other purposes.

See our Privacy Policy (Sections 1.1, 3.7, 4.13 and 5.2) for details.

6. What you agree to when using Heyli

6.1 Accurate information

You agree to provide accurate and truthful information about yourself. Heyli relies on what you tell it to make good matches. If you provide false or misleading information, it undermines the experience for everyone.

6.2 Your own information

You agree to only share information about yourself — not about other people without their permission. Do not share other people’s personal data (phone numbers, emails, etc.) in your conversations with Heyli.

6.3 Respectful use

You agree to:

  • Use Heyli for legitimate professional networking purposes
  • Treat other users you are introduced to with respect and professionalism
  • Not use Heyli to harass, spam, or deceive anyone

6.4 Prohibited conduct

You agree NOT to:

  • Use offensive, discriminatory, hateful, or threatening language
  • Impersonate another person or use a false identity
  • Share someone else’s LinkedIn profile, email, or credentials as your own
  • Provide fake or fabricated professional information (job titles, companies, qualifications)
  • Attempt to manipulate, exploit, or “jailbreak” the AI system (e.g., prompt injection, attempting to bypass safety measures, or trying to make Heyli reveal other users’ data)
  • Use Heyli for any illegal activity
  • Attempt to extract other users’ personal data through Heyli
  • Abuse the introduction system (e.g., accepting matches with no intention to follow through, using introductions to spam or sell)
  • Use automated tools, bots, or scripts to interact with Heyli (except through the standard WhatsApp interface)
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Heyli service
  • Interfere with the security, integrity, or availability of the service
  • Use Heyli for competitive analysis or to build a competing service
  • Send unsolicited commercial messages to people you meet through Heyli

6.5 Consequences of violations

Minor violations (e.g., inaccurate information, disrespectful language):

  • We will warn you and give you an opportunity to correct the behavior
  • Repeated minor violations may lead to temporary suspension or permanent termination

Serious violations (e.g., impersonation, using someone else’s identity or LinkedIn, attempting to hack or exploit the system, illegal activity, harassment):

  • We may immediately and permanently terminate your access to Heyli without prior notice
  • We will delete your data from our systems within 30 days
  • We may report the violation to relevant authorities if required by law

We reserve the right to determine, at our sole discretion, whether a violation is minor or serious. In all cases, we will notify you of the reason for any action taken against your account.

7. AI features — limitations and disclaimers

7.1 AI is not perfect

Heyli is powered by artificial intelligence, which has inherent limitations:

  • Inaccuracies: AI-generated responses, profile summaries, and match descriptions may contain errors, inaccuracies, or “hallucinations” (plausible-sounding but incorrect information).
  • No guarantees: We do not guarantee the accuracy, completeness, or reliability of any AI-generated content.
  • Not professional advice: Nothing Heyli says constitutes legal, financial, medical, career, or any other professional advice.
  • Match quality: We do not guarantee that suggested matches will result in successful business relationships, partnerships, employment, or any particular outcome. We do not verify users’ identities, credentials, or business reputation. A match suggestion is not an endorsement of any person or company.

7.2 Your responsibility

You are responsible for:

  • Verifying any information provided by Heyli before acting on it
  • Making your own decisions about introductions and business relationships
  • Exercising your own judgment when interacting with people introduced by Heyli
  • Not relying solely on AI-generated content for important decisions

7.3 No binding agreements with AI

Interactions with Heyli — including conversations, match suggestions, and email introductions — do not create any legal obligations, contracts, or binding agreements between you and Heyli, or between you and other users. Any business relationship with someone you meet through Heyli is solely between you and that person.

8. Using your LinkedIn profile information

8.1 How it works

If you choose to share your LinkedIn URL with Heyli, we review the publicly available information on your profile (such as your job title, company, and skills) to help build your networking profile — so you don’t have to type everything manually. See our Privacy Policy (Section 4.4) for details.

8.2 Your responsibility

By sharing your LinkedIn URL with Heyli:

  • You confirm that you are sharing your own LinkedIn profile (not someone else’s)
  • You confirm that the information on your profile is accurate to the best of your knowledge

8.3 Opting out

This feature is entirely optional. You can decline when asked and still use all of Heyli’s features by sharing your professional details in conversation instead.

If you previously shared your LinkedIn URL and want the associated data removed, email support@meetheyli.com.

9. Introduction emails

9.1 What introduction emails contain

An introduction email about you can include:

  • Your first name
  • Your current role, company, and a one-line company description
  • What you offer or look for, in a short AI-written summary
  • Your LinkedIn, only if you said yes to that in a chat with Heyli
  • A way for the other person to say yes or no

Heyli’s AI writes every introduction email. If the person has never talked to Heyli, the email says that their community manager thinks they should meet.

9.2 When introduction emails are sent

Introduction emails are sent when you ask for one (by selecting a match and confirming), or when your community manager suggests one (see Section 5.7). Heyli emails one person at a time. Your contact details are never shared without your active yes.

9.3 Shared information

  • Before acceptance: Only the items in Section 9.1 are shared. Never your surname, email address, or phone number.
  • After both parties accept: Email addresses are shared so you can communicate directly. Your phone number is never shared.
  • Decline: If either party declines, no further information is shared.
  • No answer: After 21 days without an answer, the introduction is marked “No reply” and Heyli stops.

9.4 AI-generated summaries

The professional summaries shared in introduction emails are generated by AI based on your conversations. While we take precautions to ensure accuracy, these summaries may contain inaccuracies. You can request to review your summary before it is shared by emailing support@meetheyli.com.

9.5 Your responsibility after introduction

Once an introduction is made and both parties accept, any further communication and relationship is solely between you and the other person. Heyli is not a party to any agreement, partnership, transaction, or interaction that may result from an introduction. You are fully responsible for evaluating the person or company you are introduced to and for any decisions you make. See Section 13 for full liability details.

10. Intellectual property

10.1 Our intellectual property

The Heyli service — including its name, logo, design, algorithms, code, and all associated content — is owned by Heyli and protected by intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works based on any part of the service without our explicit written consent.

10.2 Your content

You retain ownership of the content you share with Heyli (your messages, professional information, etc.). By using the service, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store this content solely for the purpose of providing the Heyli service — including creating your profile, generating match suggestions, and sending introduction emails.

This license terminates when you delete your data or revoke your consent.

10.3 AI-generated content

Content generated by Heyli’s AI (responses, match descriptions, profile summaries) is provided to you for personal use. Given the nature of AI-generated content:

  • Similar content may be generated for other users
  • We do not guarantee that AI-generated content is original or unique
  • AI-generated content may not be eligible for copyright protection in all jurisdictions

10.4 Feedback

If you provide feedback, suggestions, or ideas about Heyli, you grant us the right to use them to improve the service without obligation to you.

11. Pricing

Heyli is currently free for individual users. You are not charged for conversations, matchmaking, introductions, or any other feature.

If we introduce paid features or plans in the future, we will notify you in advance. Any paid features will require your explicit agreement before you are charged — you will never be billed without your clear consent.

You are responsible for any costs associated with your own internet connection and WhatsApp usage, as set by your mobile operator or internet provider.

12. Service availability and modifications

12.1 Availability

We aim to keep Heyli available at all times, but we do not guarantee uninterrupted service. The service may be temporarily unavailable due to:

  • Scheduled maintenance (we will try to notify you in advance)
  • Technical issues with our infrastructure or third-party services
  • Force majeure events (see Section 12.3)

12.2 Changes to the service

We may modify, update, or discontinue features of Heyli at any time. If we make material changes that significantly affect your experience:

  • We will notify you via email
  • We will give you at least 14 days’ notice before the changes take effect
  • If you disagree with the changes, you can stop using the service and request data deletion

12.3 Force majeure

We are not responsible for failure to provide the service due to events beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, government actions, internet outages, power failures, third-party service outages (e.g., WhatsApp, Google Cloud), or changes in law or regulation.

13. Limitation of liability

13.1 Service provided “as is”

Heyli is provided “as is” and “as available.” To the maximum extent permitted by law, we make no warranties — express or implied — regarding:

  • The accuracy or reliability of AI-generated content
  • The suitability of any match suggestion
  • The outcome of any introduction or business relationship
  • The uninterrupted or error-free operation of the service

13.2 What we are NOT liable for

To the maximum extent permitted by applicable law, Heyli is not liable for:

  • Outcomes of introductions: We facilitate introductions but are not responsible for what happens between users after they connect. This includes, without limitation: business disputes, failed partnerships, competitive conflicts, financial losses, reputational damage, contractual disagreements, or any other consequences arising from interactions with people you were introduced to through Heyli.
  • Suitability of matches: We do not verify the identity, credentials, intentions, or business reputation of users. A match suggestion by Heyli does not constitute an endorsement or recommendation of any person or company. You are solely responsible for evaluating the suitability of any person you are introduced to and for any decisions you make based on such introductions.
  • AI inaccuracies: Errors, hallucinations, or misleading content generated by the AI, including inaccurate profile summaries, incorrect professional details, or misleading match descriptions.
  • Third-party actions: Actions of other users, LinkedIn, WhatsApp, or any third-party service.
  • Indirect or consequential damages: Lost profits, lost business opportunities, lost data, lost reputation, or any indirect, incidental, special, or consequential damages arising from your use of Heyli.
  • Third-party platform actions: Any action taken by third-party platforms (including LinkedIn or WhatsApp) in relation to your use of their services.

13.3 What we ARE liable for

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited by applicable law (including EU consumer protection law)

13.4 Maximum liability

To the extent permitted by law, our total liability for all claims arising from your use of Heyli shall not exceed the higher of EUR 100 (one hundred euros) or the total fees you have paid to us in the 12 months preceding the claim. This limitation does not apply to the exclusions in Section 13.3 above.

13.5 Consumer rights

If you are a consumer in the EU, you have statutory rights under EU consumer protection law that cannot be limited or excluded by these Terms. Nothing in these Terms affects those statutory rights.

14. Termination

14.1 By you

You can stop using Heyli at any time by:

  • Simply stopping messaging Heyli (no action required)
  • Requesting data deletion by emailing support@meetheyli.com

14.2 By us

We may terminate or suspend your access to Heyli if:

  • You commit a serious violation of these Terms — immediately and without prior notice (see Section 6.5)
  • You commit repeated minor violations after being warned (see Section 6.5)
  • We are required to do so by law
  • We discontinue the service entirely

If we terminate your access, we will notify you with the reason. For serious violations, termination takes effect immediately. If we discontinue the service entirely, we will give you at least 30 days’ notice and an opportunity to export your data.

14.3 Effect of termination

Upon termination:

  • You will no longer be able to send messages to Heyli
  • Your data will be deleted within 30 days, unless retention is required by law
  • Any pending introductions will not be completed
  • These Terms will no longer apply, except for provisions that by their nature survive termination (e.g., Section 13 limitation of liability, Section 10 intellectual property, Section 16 governing law)

15. Privacy and data protection

Your privacy is important to us. Our Privacy Policy explains in detail:

  • What personal data we collect
  • How and why we process it
  • Who receives it
  • How long we keep it
  • Your rights under the GDPR

By using Heyli, you acknowledge that you have read and understood our Privacy Policy.

16. Governing law and disputes

16.1 Governing law

These Terms are governed by the laws of Poland, as supplemented by directly applicable EU law (including the GDPR and the EU AI Act). If you are a resident of the United States, your rights under applicable US state privacy laws are also preserved (see our Privacy Policy, Section 18 and these Terms, Section 19).

16.2 Dispute resolution

We prefer to resolve disputes amicably. If you have a concern:

  1. Contact us first: Email support@meetheyli.com. We will try to resolve your concern within 14 days.
  2. Mediation: If we cannot resolve the dispute directly, you may use any mediation service of your choice.
  3. EU Online Dispute Resolution: If you are an EU consumer, you can also use the European Commission’s Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.

16.3 Jurisdiction

If informal resolution fails, disputes shall be submitted to the courts of Warsaw, Poland — unless mandatory consumer protection law in your country requires disputes to be heard in your local courts. If you are a consumer in the EU, you always have the right to bring proceedings in the courts of the Member State where you are domiciled. If you are a resident of the United States, nothing in these Terms limits your rights under applicable state consumer protection or privacy laws.

16.4 Supervisory authority

For data protection matters, you can file a complaint with:

Prezes Urzędu Ochrony Danych Osobowych (UODO) ul. Stawki 2, 00-193 Warszawa, Poland https://uodo.gov.pl

Or with the data protection authority in your EU Member State.

17. Changes to these Terms

We may update these Terms from time to time. When we do:

  • We will notify you via email
  • We will publish the updated Terms at meetheyli.com/terms
  • Changes take effect 30 days after notification (or longer if required by law)
  • If a change significantly affects your rights, we may ask for your renewed consent

If you disagree with the changes: You can stop using Heyli and request data deletion before the new Terms take effect. Continued use of Heyli after the effective date constitutes acceptance of the updated Terms.

18. General provisions

18.1 Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Heyli regarding the use of the service.

18.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or competent authority, that provision shall be modified to the minimum extent necessary to make it valid — or, if that is not possible, it shall be removed. All other provisions remain in full force and effect.

18.3 No waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

18.4 Assignment

We may transfer our rights and obligations under these Terms to another entity (e.g., in connection with a merger, acquisition, or sale of assets). We will notify you of any such transfer. You may not transfer your rights or obligations under these Terms without our written consent.

18.5 Language

These Terms are published in English. If we provide a translation, the English version prevails in case of any discrepancy.

19. United States residents

If you are a resident of the United States, you may have additional privacy rights under state laws such as the CCPA/CPRA. These are described in our Privacy Policy (Section 18). We do not sell your personal information for monetary consideration. Nothing in these Terms limits or waives any rights you may have under applicable US state consumer protection or privacy laws.
